This agreement governs the services of Journey Bridge (the “Service”) and the terms and conditions (the “Terms”) of the Services provided to the user (the “User”, “you”, “your”) in our platform (the “Platform”). The Services may be offered through Journey Bridge or a third-party website (the “Third Party-Partner Website”) and available for your use in your country or territory or residence, according to applicable laws. Additional aspects of the service, such as Privacy and Cookies Policies, are established in complementary agreements which are deemed to be an integrated part to these Terms.
By agreeing to these Terms, subject to user’s account availability (the “Account"), you are required to read, understand, and agree on these Terms by clicking “I agree” on our Platform. By agreeing, you confirm you read, understood, and accepted the Terms becoming effective from the moment you access the Services on the Platform. Lack of acceptance to the present Terms or the use of our Platform in violation with existing and applicable laws and regulations implies violation of the present Terms and the prohibition to use the Services.
Journey Bridge reserves the right to amend these Terms on its sole discretion, as to limit access to the Platform, modify, and/or terminate any Services available on the Platform, without prior notice to the Users.
These Terms can be available in languages other than English. In case of any discrepancies between any translations and the English version, the former one prevails.
ACCOUNT
Once you agree with our terms, you are required to create an account on our Platform. You are responsible for maintaining your account, its confidentiality and security. You are responsible to access and use your account and the Platform according to these Terms. Journey Bridge is not responsible for any losses arising from the unauthorized use of your account. Likewise, if you suspect that your account has been compromised, you undertake the responsibility to notify Journey Bridge briefly after that your account has been compromised.
Any other use of the Services and Platform is a material breach of these Terms. Journey Bridge may monitor your use of the Services to ensure that you are following these Terms and its rules accordingly.
DEFINITIONS
Journey Bridge: It is an intermediary platform that operates as a migration platform enabling Users to access to services offered on its Platform or Third Party-Partners Platforms and/or Websites (the “Third Party-Partner Service”, “Third Party-Partner Platform”, “Third Party-Partner Website”). As an intermediary platform, Journey Bridge provides intermediary services in transition phases. Fees are applicable by Journey Bridge on assets, value, or migrated instruments.
Account: The User’s account opened on Journey Bridge Platform, according to these Terms, and any other applicable rules.
“Third Party-Partner Website”: Website with whom Journey Bridge collaborates, where you utilize your JB Account and relevant credentials to access their Services.
ELIGIBILITY
You must be either a natural person who is at least 18 years of age, possessing legal capacity according to applicable domestic regulations, or a legal entity with the legal capacity according to applicable laws and regulations, able to agree and enter into these Terms.
Eligibility requirements for accessing certain Third Party-Partner Services and/or Websites may vary, including allowing minors to access their services. Users agree to behave with due diligence and cautions in reviewing and complying with the applicable terms and conditions, age restrictions, and guidelines of each Third Party-Partner Website. It is the User's responsibility to ascertain their eligibility and adhere to any age-related restrictions or guidelines as specified by the related Third Party-Partner Website.
Journey Bridge is not liable for any disparities in eligibility criteria among Third Party-Partner Websites. Users are encouraged to directly contact the relevant Third Party-Partner Website for clarifications on their access policies. User’s access to any Third Party-Partner Websites through our Platform is contingent upon the User’s compliance with the respective Third Party-Partner Website, the applicable terms, conditions, laws and regulations.
ACCOUNT SETUP
REGISTRATION
By utilizing our Account services, you agree, affirm, and assure that you will use the account strictly for your personal and untransferable use and/or for the solely use of your legal entity. You pledge not to give access to your Account to any third party unless the explicit and written authorization granted by Journey Bridge thereon.
Journey Bridge’s internal verification process in our Platform requires you to register and take precise onboarding according to the applicable internal procedures of the company.
For the internal verification process, you accept Journey Bridge Terms, Privacy Policy, and any other additional rules thereon.
For the registration process, you shall provide a strong password. You are responsible for maintaining your password’s confidentiality and security, and you are responsible to use it to access your account according to these Terms. Journey Bridge is not responsible for any losses arising from the unauthorized use of your password and/or account. Likewise, if you suspect that your account has been compromised, you undertake the responsibility to notify Journey Bridge briefly that your account has been compromised.
The creation of multiple accounts is expressly forbidden. Duplicate or multiple Accounts created by the same User may be subject to suspension, termination, or other appropriate actions at our discretion, and any associated benefits or privileges may be forfeited. It is the User's responsibility to ensure the proper management and use of their single Account in accordance with the Platform’s Terms.
IDENTITY VERIFICATION
User onboarding and AML screening (“KYC System”) will be carried out through a Third Party Partner, that is designed to facilitate the process of User registration and identity verification in order to assess, manage and mitigate any money laundering or terrorist financing risks associated with the User. In order to conduct the Identity verification, we may insist you complete the following KYC process:

In providing the above-mentioned information to our Third Party Partner, you represent and warrant that the information is accurate and authentic. If there are any grounds for believing that any of the provided information is incorrect, false, outdated, or incomplete, Journey Bridge and/or our Third Party Partner reserves the right to send you a communication requesting corrections, suspend, or terminate all/part of the provided Services.
If Journey Bridge is unable to contact you based on the contact information you provided in the Platform, you are liable for any loss or expense caused to us during the time you use our Services, or any other negative consequence derived from our impossibility to reach you.
By agreeing to these Terms, you consent for us to conduct inquiries, either directly or through third parties, as deemed necessary to verify your identity or safeguard both you and the Platform against fraud and related crimes, including identity theft, wire fraud, and forgery. Based on the outcomes of such inquiries, we reserve the right to take appropriate civil and criminal actions that we reasonably consider essential. Additionally, you explicitly acknowledge and consent that if required, your personal information may be disclosed to requesting governmental institutions or authorities.
To ensure compliance with applicable anti-money laundering (the “AML” rules) and counter-terrorism financing regulations rules and regulations (the “CTF” rules), and to effectively manage and mitigate potential risks associated with users, including but not limited to money laundering, terrorist financing, and adherence to sanctions and politically exposed person (PEP) lists, the User hereby acknowledges and agrees that the Third Party-Partner Websites reserve the right to conduct separate KYC screening.
The User further acknowledges that any information collected and processed during the separate KYC screenings will be treated in accordance with the private policy of the Third Party-Partner Websites and applicable data protection laws.
Users will not be able to access their account balance until they have completed the above KYC process.
APPLICABLE FEES
In order to migrate your account and account balance to our Platform, you accept and consent to pay the fee of thirty nine (39) Euros. The mode of payment shall be paid from your wallet or as a card payment.
Furthermore, to maintain ongoing access and support for our Services, you agree to pay an annual fee through our Third Party Partner. Failure to fulfill these annual fees will result in account access being restricted. You recognize and accept that the annual fees may vary, and the specifics, including payment methods, are governed by the terms and conditions of our Third Party Partner.
Upon any withdrawal, a withdrawal fee will be applied. The precise amount of this fee will only be indicated at the time of withdrawal. You acknowledge and agree that withdrawal fees are variable and subject to change.
USER OBLIGATIONS
You agree to use our Services only for lawful purposes, in compliance with these Terms, and any applicable laws and regulations.
You shall refrain from engaging in any activity that may disrupt or harm the Platform or its Users, including, but not limit to hacking, spamming, or engaging in any form of unauthorized access or use of the platform.
You shall refrain from reproducing, modifying, copying, distributing, or wrongfully using of any materials, information, content, and/or data available in the Platform.
TERMS OF USE
The Journey Bridge Platform and its Services are designed for the sole purpose of acquiring communities from third parties to provide intermediation services enabling users to access products and services of Third Party-Partner Websites and/or Platforms.
The secure transfer of User’s assets, value, or instruments from the Third Party-Partner Platforms to the Journey Bridge Platform is subject to the User’s acceptance of the present terms and conditions, and the additional agreements integrated to this document.
In case of any discrepancies in the information, data, or transfer amounts of assets, value, or instruments from the Third Party-Partner Website to Journey Bridge’s Platform, the User shall inform Journey Bridge of any/all discrepancies within fifteen (15) days from the date the User has created an account on Journey Bridge Platform. Journey Bridge will be unable to assist the User on discrepancies reported after the fifteen (15) days due period.
Journey Bridge reserves the right to request the User to submit evidence in the event the User reports any discrepancies in the information, data, or transfer amounts of assets, value, or instruments from the Third Party-Partner Website to Journey Bridge’s Platform, during the migration period.
DORMANT ACCOUNT
If you have not logged in for 12 months, your Account shall be considered as a “Dormant Account”. You agree and acknowledge that we are entitled to charge a dormant fee. Such dormant fee shall be variable and subject to change.
The dormant fee shall be deducted from your Account balance. It is your sole responsibility to ensure you maintain an active account to avoid incurring dormant fees.
RISK DISCLOSURE
Third-party Services Risk: Journey Bridge acts as an intermediary platform, providing intermediation services between users and Third Party-Partner Platform and/or websites. Journey Bridge does not hold any directly or indirect control of the services provided by these Third Party-Partners. Any issues or risks related to these Services, Websites, and/or Platforms must be resolved with the respective Third Party-Partner.
Service Availability Risk: Service’s availability on Third Party-Partner Websites may be changed based on the sole discretion of the Third Party-Partner. Journey Bridge has no control on the operation of the Third Party-Partner Website, therefore, cannot guarantee the availability of any services provided by the Third Party.
Data Security and Privacy Risk: Sharing login credentials across different Third Parties-Partner Websites involves transmitting your authentication details from Journey Bridge to external websites and servers. Although we implement security measures to protect your information, using shared credentials introduces risks of unauthorized access if there is a security breach or vulnerability in any of the interconnected systems.
User Behavior Monitoring Risk: The shared login functionality enables Third Party-Partners Websites to track your activity across multiple platforms using the same credentials. While this is designed to improve your user experience, likewise your behavior and interactions across different Third Party-Partner Websites can be correlated and potentially impact your privacy.
Third-Party Policies Risk: Each Third Party-Partner Website may have its own terms of use, privacy policy, and security practices. By using shared login credentials, you acknowledge that you are subject to the policies and practices of both Journey Bridge’s Platform and the Third Party-Partner Websites. Users agree to review and understand each policy, terms and conditions, before using the shared login feature.
Account Vulnerability Risk: If your Journey Bridge credentials are compromised, it could potentially grant unauthorized access to all the Third Party-Partner Websites connected to your account. Journey Bridge emphasized the importance of safeguarding your login information, using a strong password, and regularly updating it. You are responsible for maintaining your account, its confidentiality and security. You are responsible to access and use your account and the Platform according to these Terms, take appropriate precautions, and make informed decisions based on your understanding of the shared login functionality.
Data Discrepancies Risks: The User accepts and acknowledges that Journey Bridge is not responsible for any discrepancies in any data that is provided to Journey Bridge by the Third Party-Partner platform that the User is migrating from to Journey Bridge Website.
Due Diligence: Our Services are not intended to provide financial, investment, or legal advice. The information presented in our Terms, Privacy & Cookie Policy, Migration Agreement, and any other document supplemented by Journey Bridge on our Services are not financial or investment advice or recommendation to use any Third Party-Partner Services. Therefore, Journey Bridge encourages Users to consult with qualified professionals before making any decisions on the Services provided through our Platform.
Data and Security Breach Risk: Journey Bridge disclaims any liability for damage of any kind caused by data losses on computer servers, hacking, cyber security breaches and/or any other types of losses. You further acknowledge that Journey Bridge is not responsible for any of these variables or risks and is not liable for any resulting losses that you experience while accessing or using a Third Party-Partner Website.
INTELLECTUAL PROPERTY
All intellectual property (the “IP”) rights, including but not limited to patents, copyrights, trademarks, trade secrets, and any other proprietary rights, associated with the Journey Bridge Platform and Website, its technology, software, content, designs, logos, and any related materials (the “Journey Bridge IP”), are and shall remain the sole and exclusive property of Journey Bridge. Users acknowledge and agree that their use of the Journey Bridge platform does not grant any rights, ownership, or license to the Journey Bridge IP. Users shall refrain from reproducing, distributing, modifying, copy, or creating derivative works based on the Journey Bridge IP without explicit written consent from Journey Bridge.
Each Third Party-Partner Website connected through the Journey Bridge Platform operates under their own terms and conditions, including its own intellectual property policies. Users acknowledge and agree that any content, technology, trademarks, logos, and other intellectual property associated with Third Party-Partner Websites (the “Third Party-Partner IP”) are owned by the respective Third Party-Partner.
Users adhere to the intellectual property policies and terms of use of each Third Party-Partner Website when interacting with their content and services. Any use of Third Party-Partner IP outside the scope of these terms may result in civil and criminal actions taken by the respective Third Party-Partner.
Users shall not use, reproduce, distribute, modify, copy, create, derivative, or engage in any activity that infringes the intellectual property rights of Journey Bridge, its Platform and/or Website, its Third Party-Partner Websites, or any other third parties. Unauthorized use of intellectual property is strictly prohibited by law, therefore, breaches to it may lead to legal action.
Any content or materials uploaded, submitted, or generated by Users on our platform are subject to these Terms. By submitting such content, Users grant Journey Bridge a non-exclusive, royalty-free, worldwide, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any form, media, or technology.
INDEMNIFICATION
Users (the “Indemnifying Party”) of the Journey Bridge Platform agree to indemnify, defend, and hold harmless Journey Bridge and its officers, directors, employees, agents, subsidiaries, affiliates, and Third Party-Partners (the “Indemnified Parties”) from and against any claims, demands, actions, liabilities, damages, costs, and expenses, including but not limited to reasonable attorneys' fees, arising out of or related to:
Breach of Terms: Any violation of these Terms, including but not limited to the intellectual property clause, by the Indemnifying Party.
Intellectual Property Claims: Any claims or actions brought against the Indemnified Parties by third parties alleging infringement of their intellectual property rights arising from the content submitted, uploaded, or generated by the Indemnifying Party on the Journey Bridge platform.
Unauthorized Use: Any unauthorized use of Journey Bridge IP and Third Party-Partner IP by the Indemnifying Party.
User-Generated Content: Any claims or disputes arising from the content, materials, or information submitted, uploaded, or generated by the Indemnifying Party on our platform.
Negligence or Misconduct: Any negligent or willful misconduct, violation of law, or breach of any rights by the Indemnifying Party in connection with their use of our Platform and Services.
This indemnification clause shall survive the termination of the User's account and the use of the Journey Bridge Platform for up to three (3) years period. Likewise, the Indemnifying Party acknowledges and accepts that their obligation to indemnify the Indemnified Parties is a material condition of their use of the Platform.
LIMITATION OF LIABILITY
Non-Guarantee: Journey Bridge does not warrant or guarantee the accuracy, reliability, or completeness of the services offered by the Third Party-Partner Websites and/or Services. Users acknowledge that they access Third Party-Partner Website and/or Services at their own risk using Journey Bridge Account.
Service Quality: Journey Bridge does not assume liability for the quality of services provided by the Third Party-Partner on their Websites. Any disputes or issues arising from the services must be addressed directly with the respective Third Party-Partners.
Third Party-Partner Websites: The Platform may contain links to Third Party-Partner Websites. We are not responsible for the content, privacy policies, or practices of these external sites, and Users access them at their own risk.
Technical Issues: While Journey Bridge strives to maintain a secure and error-free Platform, we cannot guarantee that the Platform will be continuously available, free from bugs, or completely secure. Users acknowledge that they use the Platform at their own risk.
Indirect Damages: The Journey Bridge and its affiliates shall not be liable for any indirect, consequential, or incidental damages arising from the use or inability to use the Platform, even if informed of the possibility of such damages.
MODIFICATIONS
Journey Bridge continuously works to develop and enhance our Platform and Services.
Journey Bridge reserves the right and discretion to amend, modify, limit access to, or terminate any of the functionalities and Services available on the Platform.
Journey Bridge reserves the right to unilaterally, at any time without prior notice, to amend, modify, or update these Terms and any of its supplemented agreements. User’s use of the Journey Bridge Website and/or Services after any modifications constitute the User’s acceptance on any and all modified Terms and conditions, Privacy and Cookies Policies, and any other agreement supplementing the present document.
TERMINATION
Journey Bridge reserves the right and discretion to terminate or suspend your access to our Website and Services at any time, with or without cause, and without prior notice or liability thereon.
NO THIRD-PARTY RIGHTS
Any of the Services provided on Platform are intended solely for the benefit of our Users. No third parties, including but not limited to individuals, organizations, or entities, have any rights or claims to the Services, unless expressly stated by Journey Bridge or competent authority. Users are strictly prohibited from transferring or assigning their rights to any third party without prior written consent from Journey Bridge.
Any unauthorized attempt to confer third party rights to the Services may result in the immediate suspension or termination of your Journey Bridge’s account and lead to legal actions according to applicable laws and regulations.
FORCE MAJEURE
Journey Bridge is not liable to you in case of failure to comply with these Terms due to force majeure or any other circumstances beyond our reasonable control.
In no event shall Journey Bridge be liable for any inaccuracy, error, delay, omission, failure in performances, interruption of Services or in the delivery of information, due to direct or indirect forces beyond Journey Bridge’s reasonable control, including but not limited to any act of nature, action of government, act of terrorists, war, fire, interruptions in telecommunications, internet services, network provider services, software malfunctions, forks, any network-wide compromises, hacking, strikes, work stoppages, accidents, civil or military disturbances, catastrophes, or any other causes beyond Journey Bridge’s reasonable control.
DISPUTE RESOLUTION
Journey Bridge will try to resolve any disputes in good faith, in a prompt, and efficient manner. Likewise, for the rise of any complaint related to Journey Bridge Services and/or Platform, the User agrees to contact us in a promptly manner at www.journeybridge.io
The User has the right to submit any comments, questions, inquiries, concerns, or complaints regarding this Terms and/or its supplement agreements to www.journeybridge.io
GOVERNING LAW
This agreement and all its supplement documents are governed according to the laws of the British Virgin Islands (BVI). The settlement of any dispute arising out of or in connection with these Terms or its supplement documents shall be subject to the exclusive jurisdiction of the BVI courts.
